2. Service Description

NoFlashStudio.com provides information about immersive 360° photography and videography services. This website is a portfolio and contact point for booking inquiries. By using this website, you understand and agree that:

  • The website is provided on an “as-is” basis
  • We make no warranties regarding service availability
  • Content may be updated without notice
  • We reserve the right to modify or discontinue services at any time

3. User Responsibilities

6. Payment Terms & Refund Policy

6.1 Payment Requirements

All services provided by NoFlashStudio.com require 100% upfront payment before work commences:

  • Payment Method: All payments are processed via SumUp invoicing. You will receive a secure invoice via email.
  • Accepted Payment Types: Credit card, debit card, and bank transfer through the SumUp platform.
  • No Work Before Payment: We do not commence any upload work or service provision until payment is received and cleared in full.
  • Bandwidth Arbitrage Service: Pay-as-you-go uploads require full payment before we begin the upload process.
  • Upload Member Service: Monthly membership fees are charged in advance. The first month's fee must be paid before activation.

6.2 Timing Guarantee & Refund Policy

NoFlashStudio.com offers a 100% timing guarantee on all Bandwidth Arbitrage uploads:

  • Timing Guarantee: If we fail to complete your upload within the stated turnaround time, you are eligible for a full refund.
  • Pay-As-You-Go Refunds: 100% refund for the specific upload that missed the deadline. The upload is still completed at our expense.
  • Upload Member Service Refunds: If any scheduled upload misses the timing guarantee within a billing month, you receive a full month refund. Your membership continues uninterrupted.
  • No Questions Asked: Timing guarantee refunds are automatic and require no justification.
  • Refund Processing Time: All refunds are processed within 5 business days via the original payment method.

6.3 Refunds NOT Available For

The following circumstances do not qualify for refunds:

  • Changes of mind after payment is completed and work has commenced
  • Client-side failures (incorrect credentials, revoked access, full storage accounts, etc.)
  • Force majeure events (natural disasters, internet outages beyond our control, etc.)
  • Uploads completed successfully within the stated turnaround time
  • Services rendered in accordance with the agreed terms

6.4 Cancellation Policy

Before Work Starts: Full refund available if you cancel before we commence work. Contact us immediately via email.

After Work Starts: No refunds once work has commenced, unless we fail to meet the timing guarantee. The service will be completed as agreed.

Upload Member Service Cancellation: You may cancel your membership at any time. Your membership remains active until the end of the current billing period. No pro-rata refunds for partial months are provided.

6.5 Pricing & VAT

  • All prices quoted exclude UK VAT (currently 20%) and VAT will be added to invoices at the prevailing rate.
  • VAT-registered businesses may reclaim VAT in accordance with HMRC regulations.
  • Prices are subject to change without notice. Pricing in effect at the time of your booking will be honored.

6.6 Joining Fee – Initial Consultation

A joining fee is required for all initial consultation meetings:

  • Purpose: This fee covers the time and preparation required for initial consultations and helps ensure we work with serious, committed clients.
  • Payment Required: The joining fee must be paid in full before any initial meeting or consultation is scheduled.
  • Non-Refundable: The joining fee is non-refundable once the consultation has taken place.
  • Cancellation: If you cancel with less than 24 hours’ notice, the joining fee is forfeited. Cancellations with more than 24 hours’ notice may be rescheduled or refunded at our discretion.
  • Credit Toward Project: Upon successful engagement, the joining fee may be credited toward your first project invoice at our discretion.

6.7 One-Off Setup Fee

A one-off setup fee applies to all new client accounts:

  • Purpose: This fee covers the administrative costs of account creation, onboarding, credential management, and initial system configuration.
  • One-Time Charge: The setup fee is charged once per client account and is not recurring.
  • Payment Required: The setup fee must be paid in full before account activation and service commencement.
  • Non-Refundable: The setup fee is non-refundable once your account has been created and configured.
  • Scope: This fee applies to new clients only. Existing clients adding additional services do not incur a new setup fee.

7. Limitation of Liability

To the fullest extent permitted by UK law:

  • NoFlashStudio.com is provided “as-is” without warranties of any kind
  • We disclaim all implied warranties of merchantability and fitness
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to direct damages not exceeding £100 GBP
  • Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under UK law

8. Indemnification

You agree to indemnify and hold harmless NoFlashStudio.com, its operators, employees, and agents from any claims, damages, or costs arising from:

  • Your violation of these Terms of Service
  • Your violation of any applicable law or regulation
  • Your infringement of any intellectual property right
  • Any harmful content you transmit through the service

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

14. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and NoFlashStudio.com regarding your use of the website and supersede all prior understandings and agreements.
